Terms of Service — The Rickhouse Ledger

Last updated: [DATE] Effective: [DATE]

Legal version: 1

1. Who we are

The Rickhouse Ledger ("the Service") is operated by SHR Systems LLC ("we", "us"), a limited liability company organised in Tennessee. You can reach us at info@rickhouseledger.com.

By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 21 years old and located in the United States to use the Service. The Service is about collections of alcoholic beverages and tobacco products, and is not intended for anyone under 21.

You are responsible for keeping your password confidential and for everything done under your account.

3. What the Service is, and what it is not

The Service is a private record-keeping tool for personal collections of whiskey, wine and cigars. It lets you catalogue what you own, attach photographs, record what you paid, view estimated values, generate reports for your own use, and receive an AI-generated assessment of your collection.

The Service does not sell, ship, broker, store or facilitate the sale of alcohol or tobacco. We are not a retailer, a marketplace, an auction house, a licensed dealer or a bailee. We never take possession of anything you own.

Features that show you what other members own or want, such as the pilot circle, are information only. We do not arrange, broker, take part in or guarantee any exchange between members. Anything you arrange with another member is between the two of you, and it is your responsibility to follow the law where you both live, including the laws on selling, trading and shipping alcohol and tobacco.

The Service is not a professional appraisal, insurance, investment, tax or legal service. See sections 9 and 10.

4. Your account

You need an account to use the Service. You agree that the information you give us is accurate, and that you will not share your account with anyone else.

We may suspend or close an account that violates these Terms.

5. Subscription and billing

Price: $10 per month, or $100 per year. All categories are included.

6. Cancelling, and what happens to your data

You can cancel at any time from your account settings. Cancellation takes effect at the end of the period you have already paid for — we do not pro-rate a partial month or year.

After a subscription ends, your account becomes read-only. You keep indefinite access to:

You will not be able to add, edit or delete entries, generate reports, download further backups, or use any AI feature, until you subscribe again. If you need another copy of your data while your plan is not active, you can ask us at info@rickhouseledger.com. We do not delete your collection when you cancel, and resubscribing restores full access to it.

You may delete your account entirely, yourself, at any time: open the Tools tab, go to Account, and press Delete my account. See the Privacy Policy for what deletion does and does not remove.

7. Refunds

We do not offer refunds for partial billing periods. If you believe you have been charged in error, contact info@rickhouseledger.com within 30 days and we will look at it in good faith.

8. Your content, and the shared catalogue

You own what you enter. Your collection records, notes, ratings, prices and photographs remain yours. You grant us only the licence we need to operate the Service for you — to store your content, display it back to you, process it as described in the Privacy Policy, and produce the reports and assessments you ask for.

Some factual bottle information becomes shared. The Service maintains a catalogue of product facts — brand, product name, distillery, region, mash bill, proof, age statement, cask finish, varietal, vintage, wrapper, vitola and similar — that is available to all users. When you add a product we do not already hold, those factual attributes may be added to that shared catalogue, in some cases after review.

What is never shared this way: what you paid, your own valuations, your purchase dates, your personal notes, your ratings, your quantities, where you store it, or your identity. The shared catalogue records facts about products, not facts about you.

Photographs are shared only if you choose. A photograph you take stays private to your account unless you explicitly offer it to the shared catalogue using the control provided. If you do, a copy is made available to other users of the Service, and that copy remains available even if you later delete your own.

Public sharing is opt-in. You can generate a link that shows a limited view of your collection or wish list to anyone holding the link. These links are unguessable but public — anyone with the link can view them without signing in. You can revoke a link at any time. Do not create one if you do not want its contents seen.

9. Valuations, and why you must not rely on them

The Service displays estimated retail and secondary-market values. These are estimates generated by automated research, not appraisals. They are:

The reports the Service produces, including any report described as an insurance or schedule report, are not formal appraisals and may not be accepted by any insurer. Do not rely on them for insurance, tax, estate, resale or investment decisions. Consult a qualified professional appraiser.

10. AI-generated content

Assessments, grades, gap analyses, recommendations, label readings, product research and chat answers are produced by large language models. They can be incomplete, out of date, or confidently wrong.

Verify anything that matters before acting on it.

11. Acceptable use

You agree not to:

Usage allowances apply to AI features. We may change them with notice.

12. Availability and changes

The Service is provided on an "as available" basis. We may change, suspend or discontinue any part of it. If we discontinue the Service entirely we will give you at least 30 days' notice and a means of exporting your data, and refund any prepaid period you have not used.

13. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY VALUATION, ASSESSMENT OR OTHER OUTPUT WILL BE ACCURATE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHR SYSTEMS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL OR COLLECTION VALUE, ARISING OUT OF OR RELATING TO THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS ($100).

THIS INCLUDES ANY CLAIM BASED ON A VALUATION, ASSESSMENT, REPORT OR OTHER OUTPUT OF THE SERVICE, including an insurance claim that is denied, reduced or disputed.

Some states do not allow these limitations, in which case they apply to the fullest extent permitted.

15. Indemnity

You agree to indemnify and hold harmless SHR Systems LLC from any claim arising out of your use of the Service, your content, or your violation of these Terms or of any law.

16. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Williamson County, Tennessee, and you consent to their jurisdiction.

[OPTIONAL — arbitration and class-action waiver. Common for consumer SaaS and genuinely protective, but it is a real decision with trade-offs and it should be made deliberately rather than pasted in. Left out of this draft on purpose.]

17. Changes to these Terms

We may update these Terms. If a change is material we will give notice in the application or by email at least 30 days before it takes effect. Continuing to use the Service after that means you accept the change.
